Group structuring
Choice of legal form and jurisdiction, holding architecture between the operating country, Europe and the Gulf, and articles of association drafted with the next financing round in view.
Structuring high-potential ventures, and advising those who invest in them.
A company is valued on its story and discounted on its paperwork. My role is to make sure the second confirms the first.
The decisions taken in the first years of a company, its legal form, its group architecture, its shareholder arrangements, its intellectual property, determine how it will be valued, financed and eventually sold. I advise founders and investors on these decisions, at 360 degrees: the legal analysis is conducted together with the business model, the financing strategy and the technology.
Each engagement begins with a written analysis: the business model as an investor will read it, the legal issues ranked by risk, a prioritised roadmap, and the points that can become a competitive advantage. Discussions follow, focused on decisions.

Shareholders' agreements between co-founders and with investors, deadlock and exit mechanisms, founder and executive vesting, leaver provisions and incentive plans, and term sheets for strategic associations.
Investor-grade review of the pitch and the financial model, term sheets, organisation of the data room, investor memoranda, and preparation for due diligence so that it confirms the company's account rather than undermines it.
Protection of software, trademarks and designs locally and abroad; assignments from freelancers, consultants and studios, often the most significant hidden risk in a young company; and patents, through a network of patent attorneys.
Entry of foreign investors into the share capital, exchange control, subsidiaries abroad and the international mobility of founders.
I devote part of my time to a major incubator present across the Mediterranean, where I have advised more than sixty companies since 2021, after earlier work with Réseau Entreprendre. A few recent examples:
This commitment keeps me close to how companies are built today, and to the questions their investors ask.
